IRIS Business Services Ltd Announces EGM for GST ASP Services Business Transfer

IRIS Business Services Ltd has called for an Extra-Ordinary General Meeting (EGM) on Saturday, July 26, 2025, to approve the transfer of its GST ASP Services Business to its subsidiary, IRIS Logix Solutions Private Limited. The meeting will be held through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in compliance with the applicable provisions of the Companies Act, 2013. The proposed resolution is to approve the sale and transfer of the GST ASP Services Business along with all related assets and liabilities for a lump sum consideration of Rs. 140.57 crore. The EGM notice has been sent to all members whose names are registered with the Company or Depository Participants as of June 27, 2025. The members can vote on the resolution electronically during the remote e-voting period from July 23, 2025, to July 25, 2025.
