
Bimergen Energy Forms JV with Cerberus Affiliate for BESS Projects
Bimergen Energy Corp's wholly-owned subsidiary, Emergen Energy LLC, entered into a Contribution Agreement and Joint Development Agreement with FPU-BEC Development Topco, LLC, a joint venture company affiliated with Cerberus Capital Management. Emergen contributed 100% of its equity interests in three battery energy storage system (BESS) project companies to the JV. In exchange, Emergen received 7.5% of the total outstanding equity interests in the JV and a reimbursement payment of $1,176,159.00. The Joint Development Agreement establishes a framework for collaboration on the existing BESS portfolio and the identification and development of additional utility-scale BESS projects, with potential development fees and milestone payments to Emergen totaling up to approximately $5.69 million.
