Centessa Acquired by Eli Lilly for $38.00 Cash + CVRs

Eli Lilly and Company, through its subsidiary LDH XV Corporation, has completed the acquisition of Centessa Pharmaceuticals plc, making Centessa a wholly-owned subsidiary of Lilly. Centessa shareholders received $38.00 in cash per share and one non-transferable contingent value right (CVR) entitling them to receive up to an additional $9.00 per share. The acquisition became effective on June 24, 2026, following a court-sanctioned scheme of arrangement. In connection with the acquisition, Centessa also fully repaid and terminated its Loan and Security Agreement.
