CIMG Inc. to Sell 3B Shares for $8.7M in Private Placement

CIMG Inc. has entered into a securities purchase agreement with certain non-U.S. investors for a private placement of 3,000,000,000 shares of common stock at $0.0029 per share, generating aggregate gross proceeds of $8.7 million. The investors have the option to pay in U.S. dollars or Bitcoin. The transaction is expected to close within five business days and will be conducted in offshore transactions in reliance on Regulation S. The shares have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an available exemption.
