Sical Logistics to Amalgamate with Promoter Group Entity, No Change in Share Capital or Management

Sical Logistics Limited has informed the exchange about the amalgamation of the promoter with the promoter group entity, Pristine Malwa Logistics Park Private Limited. The boards of both companies have approved the scheme of amalgamation under Section 233 of the Companies Act, 2013. The proposed transaction is exempted under Regulation 10(1xdxiii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. Upon the scheme becoming effective, the promoter will stand merged with the promoter group entity, with no change in the aggregate holding of the promoter and promoter group. The management or control of the company will also remain unchanged. The amalgamation aims to achieve greater integration, financial strength, and operational synergies. There will be no change in the issued and paid-up share capital of the promoter group entity and the company.
