Avenir Investment RSC Ltd Acquires 43.4% Stake in Sammaan Capital Ltd for INR 30,66,90,535

Pursuant to a share subscription agreement dated October 02, 2025, Sammaan Capital Ltd has issued and allotted 33,00,00,111 equity shares, 8,68,92,966 warrants (Tranche I Warrants), and 21,97,97,569 warrants (Tranche II Warrants) to Avenir Investment RSC Ltd. The transaction took place on March 31, 2026, with an acquisition price of INR 30,66,90,535. The shares, Tranche I Warrants, and Tranche II Warrants allotted under this preferential issue will not have any voting rights until the completion of the open offer and will be held under a separate share escrow account. On completion of the open offer, the shares, Tranche I Warrants, and Tranche II Warrants allotted under the preferential issue will be transferred from the share escrow account to Avenir Investment RSC Ltd’s demat account.
