Citizen Infoline Ltd Allots 86,46,000 Equity Shares to Shareholders of Citizen Solar Private Limited

Citizen Infoline Ltd, in its board meeting held on April 03, 2026, has allotted 86,46,000 equity shares of Rs.10 each to the eligible shareholders of Citizen Solar Private Limited. The record date for determining the eligible shareholders is March 31, 2026. The allotment is pursuant to the Scheme of Arrangement approved by the NCLT Ahmedabad Bench, involving issuance of equity shares of the Company to the shareholders of Citizen Solar Private Limited in the nature of a share swap in accordance with the approved share exchange ratio of 11:1. The paid-up share capital of the Company stands at Rs.1,40,43,30,000 comprising 1,40,41,300 equity shares. The allotted equity shares will rank pari passu with the existing equity shares of the Company. The Company will make necessary applications for the purpose of listing of the allotted equity shares. The allotment has been completed in accordance with the approved Scheme and applicable provisions of the Companies Act,2013 and SEBI (LODR) Regulations.
