Digilogic Systems Ltd Receives Show Cause Notices from Registrar of Companies, Telangana for Defaults under Section 42(10) of the Companies Act, 2013

Digilogic Systems Ltd has received Show Cause Notices from the Registrar of Companies, Telangana for E-Adjudication for Defaults under Section 42(10) of the Companies Act, 2013. The Company had earlier filed Adjudication Applications (GNL-1) dt. 30-12-2025 voluntarily before Registrar of Companies, Telangana for certain procedural lapses in 3 private placements made during FY 2024-25. The Registrar of Companies, Telangana issued Show Cause Notices to the Company for E- Adjudication, alleging that the Company has made 3 private placements during FY 2024-25 with some procedural lapses. The Company has received Show Cause Notices for an amount of Rs. 2 crores for the Company and 2 crores for each of the directors for each private placement. The Company will file the reply and represent for the Adjudication. The financial impact is yet to be quantified and there is no material impact on operations or other activities of the Company.
