Tech Mahindra Announces Plan of Merger for Wholly-Owned Step-Down Subsidiaries

Tech Mahindra Ltd. has announced a Plan of Merger for its wholly-owned step-down subsidiaries, Tech Mahindra Costa Rica Sociedad Anonima and Allyis Technology Solutions Sociedad de Responsabilidad Limitada. The merger, which was approved by the Board of Directors on 31st March 2026, is subject to regulatory approvals in the country of incorporation. The appointed date of merger is 1st April, 2026. Upon completion of the transaction, Tech Mahindra Costa Rica Sociedad Anonima would cease to be a wholly owned subsidiary of Allyis Technology Solutions Sociedad de Responsabilidad Limitada and in turn a wholly owned step-down subsidiary of the Company.
