Bosch Ltd. to Acquire Bosch Chassis Systems India Private Limited for Rs. 9,068.68 Crores & Issue of Equity Shares on Preferential Basis

Bosch Ltd. has announced the acquisition of Bosch Chassis Systems India Private Limited from its existing shareholders Robert Bosch Investment Nederland B.V and Robert Bosch LLC, USA for a total consideration not exceeding Rs. 9,068.68 crores. The acquisition will result in Bosch Chassis Systems India Private Limited becoming a Wholly owned subsidiary and also a material subsidiary of Bosch Ltd. Additionally, Bosch Ltd. will issue 1,230 Equity Shares on a preferential basis to Robert Bosch Investment Nederland B.V and Robert Bosch LLC for a consideration other than cash. The proposed acquisition and issuance of equity shares are subject to the approval of regulatory/statutory authorities and the approval of shareholders of the Company.
