Kesoram Industries' Scheme of Arrangement with UltraTech Cement Effective from 15th March, 2025

The Board of Directors of Kesoram Industries Ltd. announced that the Composite Scheme of Arrangement between the company and UltraTech Cement Ltd. will be effective from 15th March, 2025. The Record Date for the purpose of determining the names of the equity shareholders of the Company to whom equity shares of the Resulting Company will be issued and allotted pursuant to the Scheme has been fixed as Monday, 10th March, 2025. The Resulting Company will issue and allot 54,86,608 7.3% non-convertible redeemable preference shares of Rs. 100/- each fully paid up for 90,00,000 5% cumulative non-convertible redeemable preference shares of Rs. 100/- each fully paid up of the Company held by the preference shareholder as on the Effective Date and 8,064,275 7.3% non-convertible redeemable preference shares of Rs. 100/- each fully paid up for 19,19,277 Zero% optionally convertible redeemable preference shares of Rs. 100/- each fully paid up of the Company held by the preference shareholder as on the Effective Date. The preference shares to be allotted as above shall remain unlisted.
