KPIT Technologies Acquires Technica Group for Euro 110 Million

KPIT Technologies Ltd has completed the acquisition of Technica Group, a leading provider of automotive system prototyping and validation solutions. The total consideration for the acquisition is Euro 110 million, which includes an upfront fixed consideration of Euro 80 million and an earnout of Euro 30 million. The earnout payment of Euro 14.5 million has been made, with Euro 9.5 million towards the achievement of performance conditions and Euro 5 million towards the acquisition of KPIT engineering SUARL, a nearshore development center for Technica GmbH. The acquisition is EPS accretive upon consolidation and does not impact goodwill on consolidated accounting.
