Beam Global Terminates ScoutDI Acquisition Deal

Beam Global announced the termination of its previously disclosed Share Sale and Purchase Agreement to acquire ScoutDI AS. The termination, effective November 5, 2026, was mutually agreed upon due to unfavorable conditions in the U.S. public markets, preventing the closing by the November 4, 2026 deadline. Consequently, no cash consideration will be paid and no shares will be issued. Neither party is required to pay a termination fee. Beam Global and ScoutDI intend to explore alternative arrangements, such as potential manufacturing and distribution partnerships for ScoutDI's drone systems in the U.S. market.
