ECARX Holdings Inc. has entered into a share exchange agreement with Qualcomm Ventures LLC. Under the agreement, Qualcomm will acquire 10,329,562 ECARX Class A ordinary shares at a price based on the 20-day volume weighted average price. This transaction facilitates ECARX's previously announced plan to acquire a minority interest and intellectual property rights from DreamSmart, with Qualcomm transferring its equity interest in DreamSmart as consideration. The closing is anticipated in August 2026, subject to customary conditions, and the shares acquired by Qualcomm will have a six-month lock-up period.

ECARX Holdings Inc., through its wholly-owned subsidiary ECARX Ecological Investment Co., Ltd. and co-borrower ECARX Technology Co., Ltd., entered into a syndicated loan agreement. The agreement provides up to RMB1,260,000,000 (approximately US$185 million) to finance the acquisition of Hubei Qiguang Technology Co., Ltd. The loan has a term of up to 10 years, bears a floating interest rate, and is secured by the equity interests of Hubei Qiguang.

ECARX Holdings Inc. has entered into a definitive agreement to acquire the entire Flyme software business portfolio, including Flyme Auto and Flyme OS, for RMB1.8 billion (approximately USD266 million). This strategic acquisition aims to secure a mature, production-proven software stack, strengthening ECARX's proprietary software and end-to-end OS capabilities. The deal, which expands on a preliminary plan, will be funded by 70% bank loans and 30% internal sources, with ECARX also committing a RMB200 million capital injection to support operations.

ECARX Holdings Inc. and TPK Holding Co., Ltd. have signed a binding memorandum of business cooperation to jointly develop the ORCA LiDAR platform for global markets, marking ECARX's formal entry into the LiDAR sector. ECARX will develop and deliver customized L4 central computing platforms and a full-stack sensor suite for May Mobility's next-generation autonomy system. This partnership aims for at least 50% cost efficiency gains by 2028 and is estimated to be worth approximately $750 million over its duration, with initial deployment starting next year and commercial scale-up in 2028.
