Galaxy Helios Data Centers II LLC, an indirect wholly-owned subsidiary of Galaxy Digital Inc., completed a private offering of $3.507 billion in 9.875% Senior Secured Notes due 2031. Galaxy Digital Inc. has appointed Steven Bandrowczak, 65, to its Board of Directors, effective July 13, 2026. Mr. Bandrowczak will also join the Company's audit committee. His term is set to expire at the 2027 annual meeting of stockholders. He brings extensive experience, having previously served as CEO of Xerox Holdings Corporation and held senior leadership roles at various global companies.

Galaxy Digital Inc. has entered into an Open Market Sale Agreement with Jefferies LLC, BNY Mellon Capital Markets, LLC, and UBS Securities LLC to establish an At-The-Market (ATM) equity offering program.
