NXG NextGen Infrastructure Income Fund

NXG NextGen Infrastructure Income Fund held its Annual Meeting, where shareholders elected Ms. Andrea N. Mullins and Mr. John H. Alban as Class II Trustees. Shareholders also approved a new investment advisory agreement with Cushing® Asset Management, LP. This new agreement was necessitated by a change of control in the Adviser, as NXG Cushing, LLC acquired a 62% interest, replacing the previous general partner. The terms, services, and advisory fee rate of 1.25% of Average Weekly Managed Assets remain unchanged from the prior agreement, and existing fee waivers continue.

The offering allows existing shareholders to purchase one new common share for every three rights held, with an opportunity to subscribe for additional shares subject to certain limitations.

NXG NextGen Infrastructure Income Fund has entered into a dealer manager agreement with Cushing® Asset Management and UBS Securities LLC to issue transferable rights to existing shareholders. These rights entitle shareholders to subscribe for up to 1,930,837 common shares at a ratio of one new share for every three rights held, potentially increasing the fund's capital base.
