PAE Ltd Adopts New MOA and AOA: Key Changes Highlighted

PAE Ltd announced the adoption of a new Memorandum of Association (MOA) and Articles of Association (AOA) at its 75th Annual General Meeting. The new MOA, as per Table-A of Schedule I of Companies Act, 2013, includes changes to the company name, registered office, objects, and capital. The new AOA, aligned with the Companies Act, 2013 and Table F of Schedule I, incorporates changes to share capital, general meetings, voting rights, board proceedings, and other corporate governance matters. The existing AOA has been replaced in its entirety with the new AOA, which has been restructured and aligned with the provisions of the Act, the Secretarial Standards issued by the Institute of Company Secretaries of India, and other applicable laws.
