Aurionpro Solutions Limited's Board of Directors has approved a Scheme of Amalgamation to merge its three wholly owned subsidiaries: Aurofidel Outsourcing Limited, Intellvisions Solutions Private Limited, and Skanan Hardware Private Limited. This move is aimed at rationalizing the group structure, streamlining operations, and reducing operational and compliance costs. The transferor companies have minimal operations, with two owning immovable properties. No cash consideration or new equity shares will be issued as part of this amalgamation, as it involves wholly owned subsidiaries. The scheme is subject to regulatory approvals, including from the National Company Law Tribunal (NCLT), shareholders, and creditors.
