Bijoy Hans Ltd. to Change Name, Increase Borrowing Limits, and Approve Revised Remuneration

Bijoy Hans Ltd. has announced that its Board of Directors, at a meeting held on March 17, 2026, decided to change the company's name to Arvaya Healthcare Limited, subject to regulatory approvals. The Board also approved an increase in borrowing limits up to Rs. 200 Crores and the authorization to make loans, give guarantees, provide securities, and make investments up to an aggregate limit of Rs. 200 Crores. The Board further approved the proposal for granting of loan(s), giving guarantee(s), and/or providing security(ies) in connection with loan(s) for an aggregate amount not exceeding Rs. 100,00,00,000. The remuneration of the Managing Director and the Chief Financial Officer was also revised. The Board also approved the change in designation of Mr. Salil Shetty from Non-Executive Director to Executive Director and Chief Executive Officer. The draft of the new Articles of Association of the Company was approved and recommended to the members for their approval. The Authorised Share Capital of the Company was increased from Rs. 60,00,00,000 to Rs. 200,00,00,000, subject to the approval of the members. A postal ballot process was approved and Mr. Chinmay Mohan Lele was appointed as the Scrutinizer. A non-binding Letter of Intent was issued to GTT Data Solutions Limited for the development of a technology platform.
