
Clean Max Board Approves ₹2500 Cr NCDs, Amalgamation, Q1 FY27 Results
Clean Max Enviro Energy Solutions Ltd's Board of Directors, at its meeting on July 31, 2026, approved the issuance of listed, rated, redeemable, non-convertible debentures (NCDs) on a private placement basis, aiming to raise up to ₹25,00,00,00,000. These NCDs are proposed to be listed on BSE and/or NSE. The Board also approved amendments to the Debenture Trust Deed, reclassifying existing listed debentures from unsecured to secured. A composite scheme of amalgamation involving the company and its subsidiaries, Clean Max Aditya Power Private Limited, Cleanmax IPP 1 Private Limited, CMES Power 1 Private Limited, and CMES Infinity Private Limited, was approved. Additionally, in-principle approval for corporate restructuring via amalgamation/merger of the company and its subsidiaries was granted. The unaudited standalone and consolidated financial results for the quarter ended June 30, 2026, along with the Statutory Auditor’s Limited Review Report, were also considered and approved. The trading window will remain closed.
