DSM Fresh Foods' Proposed Subsidiary to Acquire Ambrozia Frozen Foods' Operations for 15 Crore Turnover

DSM Fresh Foods Limited's proposed subsidiary, Avyom Foodtech Private Limited, has entered into a binding term sheet with Ambrozia Frozen Foods, a partnership firm, for the acquisition of its operational food processing business on a going concern basis. The transaction is subject to customary conditions precedent, definitive agreements, and applicable approvals. Ambrozia Frozen Foods operates a food processing facility with a processing capacity of approximately 15 tonnes per day, supporting a diversified portfolio of 150+ SKUs and servicing a strong institutional and QSR customer base. The facility has an established export footprint in Canada, the United Kingdom, and the UAE. Ambrozia has reported a turnover of approximately 13 crores in FY25, with the underlying business historically achieving peak annual revenues of approximately 16 crores, underscoring the scalability and commercial viability of the processing infrastructure.
