Emcure Pharmaceuticals Acquires 20.42% Stake in Zuventus Healthcare, Making it a Wholly Owned Subsidiary

Emcure Pharmaceuticals Ltd. has completed the acquisition of 4,095,180 Equity Shares, constituting 20.42% of the total issued and paid up capital of Zuventus Healthcare Limited. This acquisition, done at an aggregate consideration of Rs. 7,249 Millions, makes Zuventus a wholly owned subsidiary of Emcure. The transaction was done at arm’s length basis as Zuventus was a subsidiary and a related party of Emcure. The acquisition was completed on or before September 30, 2025, with the payment made in cash. Post-acquisition, Emcure's shareholding in Zuventus increased to 100% from the previous 79.58%.
