Gem Aromatics Ltd's Executive Committee has approved the conversion of pre-existing inter-company loans into equity shares of its wholly-owned subsidiary, Krystal Ingredients Private Limited. This transaction involves no fresh capital infusion, aiming solely to strengthen Krystal's capital base and provide greater financial flexibility for its operations and future growth plans. Krystal Ingredients, engaged in manufacturing and exporting essential oils and aroma chemicals, reported a turnover of ₹323.296 million and a net worth of ₹598.643 million for FY2025-26. The equity shares are being acquired at an issue price of ₹47,710 per share (₹10 face value and ₹47,700 premium). As an internal transaction between a holding company and its WOS, it is considered an arm's length related party transaction and will not alter the company's percentage of shareholding in Krystal.
