GSP Crop Science approves Scheme of Arrangement for amalgamation

GSP Crop Science Limited's Board of Directors has approved a Scheme of Arrangement for the amalgamation of Rajdhani Petrochemicals Private Limited (Transferor Company) with GSP Crop Science Limited (Transferee Company). The demerged company is GSP Intermediates Private Limited. The appointed date for the scheme is April 1, 2026. All assets and liabilities of Rajdhani Petrochemicals and the demerged undertaking of GSP Intermediates will be transferred to GSP Crop Science at carrying values. The company holds the entire share capital of both Rajdhani Petrochemicals and GSP Intermediates, which will be cancelled upon the scheme becoming effective. The rationale includes streamlining corporate structure, consolidating assets, achieving operational synergies, and enhancing stakeholder value.
