This scheme involves PureSoftware Technologies Private Limited (Wholly Owned Subsidiary–Transferor Company) and Happiest Minds Technologies Limited (Holding Company–Transferee Company). The NCLT's order, dated May 29, 2026, sanctions the arrangement, with an appointed date for the merger set as April 01, 2026. The company had previously disclosed the scheme on multiple dates starting from February 04, 2025. This approval marks a significant step in the corporate restructuring process.
