Hubtown Ltd. to Consider Draft Scheme of Arrangement on August 26, 2025

Hubtown Ltd. has informed the BSE that the company's Board of Directors will meet on August 26, 2025, to consider and approve a draft Scheme of Arrangement under Sections 230-232 of the Companies Act, 2013. The scheme involves the merger of Nitant Real Estate Private Limited, Amazia Developers Private Limited, and Distinctive Realty Private Limited into Hubtown Ltd. These transferor companies collectively hold the majority equity stake in Twenty Five South Realty Limited, which is developing a super luxury residential project named '25 South' in Prabhadevi, Mumbai. Additionally, Twenty Five South Realty Limited holds 75% equity stake in Twenty Five Downtown Realty Limited, which is developing a super luxury residential project named '25 Downtown' near the Willingdon Golf Club, Mahalaxmi. The remaining 25% equity stake in Twenty Five Downtown Realty Limited is held by Hubtown Ltd.
