Innovators Facade Acquires 51.03% of ICWPL, Plans Share Swap

Innovators Facade Systems Ltd announced its Board of Directors has approved the acquisition of 10,10,000 Equity Shares (51.03%) of Innovators Contracting Works Private Limited (ICWPL) for ₹1.98 Crore. This acquisition is classified as a related party transaction and will be executed via a share swap with Ms. Vedika Radheshyam Sharma, a shareholder of ICWPL. The company also approved a preferential issue of 9,50,971 Equity Shares to Ms. Sharma as consideration other than cash. An Extraordinary General Meeting (EGM) has been scheduled for November 25, 2026, to seek shareholder approval for these transactions. ICWPL operates in the Construction and Infrastructure industry with a turnover of INR 6,363.26 Lakhs for FY 2025-26.
