Janus Corporation Ltd Announces Acquisition of Forever Business Solutions Private Limited and Preferential Issue

The Board of Directors of Janus Corporation Ltd held a meeting on April 12, 2024, during which they approved the acquisition of 100% equity shareholding of Forever Business Solutions Private Limited (FBSPL) for a total purchase consideration of Rs. 13,82,40,000. The consideration will be met through the issuance and allotment of up to 1,15,20,000 equity shares of Janus Corporation Ltd to the shareholders of FBSPL. FBSPL will become a wholly owned subsidiary of Janus Corporation Ltd upon completion of the acquisition. The Board also approved a preferential issue of 1,15,20,000 equity shares to the shareholders of FBSPL for consideration other than cash. The details of the acquisitions and the preferential issue, as required by SEBI regulations, are enclosed in Annexures A and B, respectively.
