Robert Bosch GmbH Acquires 74.25% Stake in Johnson Controls-Hitachi Air Conditioning India Ltd

Robert Bosch GmbH ('Bosch') has acquired a 74.25% stake in Johnson Controls-Hitachi Air Conditioning India Ltd ('JCHAC India') through a series of transactions. Bosch entered into a share purchase agreement with Hitachi Global Life Solutions, Inc. and Johnson Control International plc, and a stock and asset purchase agreement with the Sellers. The acquisition includes 100% of the issued and paid-up share capital of Johnson Controls-Hitachi Air Conditioning Holding (UK) Ltd, which in turn holds 100% of the issued and paid-up share capital of JCHAC India HoldCo Limited, a holding company of JCHAC India. This acquisition has resulted in a change in control and an indirect acquisition of 74.25% of the Share Capital of JCHAC India.
