Joindre Capital: Promoter Group to Transfer 4.70% Shares

Joindre Capital Services Limited has received prior intimation from Mrs. Sandhya Agarwal, a member of the Promoter/Promoter Group, regarding a proposed inter-se transfer of approximately 4.70% of the company's total paid-up equity share capital. The transfer involves 5,50,000 shares by way of gift from Mr. Subhash Agarwal (husband) and 1,00,000 shares from Subhash Agarwal HUF pursuant to a partition. These transactions are among persons belonging to the Promoter/Promoter Group and are exempt from open offer obligations under SEBI (SAST) Regulations, 2011. The aggregate shareholding of the Promoter and Promoter Group will remain unchanged post-transfer.
