Kalpataru Projects to Sell Entire Stake in Vindhyachal Expressway Private Limited to Actis Atlantic Holdings Limited

Kalpataru Projects International Ltd has entered into definitive agreements for the sale of its entire 100% stake in Vindhyachal Expressway Private Limited, a wholly owned subsidiary, to Actis Atlantic Holdings Limited. The transaction is at an advanced stage of closing and is expected to be completed before 31st January, 2026. The subsidiary contributed approximately 0.43% of the consolidated revenue and 2.81% of the consolidated net worth for the financial year ended 31st March, 2024. The estimated enterprise value of the transaction is ~Rs. 775.00 Crores, subject to certain closing adjustments. Actis Atlantic Holdings Limited is not a part of the promoter/promoter group/group companies.
