Mahalaxmi Seamless: Promoter Gift Transfer of 0.44% Equity

Mahalaxmi Seamless Limited has announced an off-market inter-se transfer of equity shares by way of gift between its promoters. The transfer involves 551,412 equity shares, representing 0.44% of the company's total share capital. This transaction is being conducted under Regulation 10(1)(a)(i) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, which exempts such transfers between immediate relatives from making an open offer, provided certain conditions are met. The transfer is proposed to occur on or after July 15, 2026. The board of directors took note of this proposed transfer during a meeting held on July 2, 2026.
