Nitin Spinners Ltd Acquires CGE II Hybrid Energy Private Limited for 17,136,363 Equity Shares

Nitin Spinners Ltd has acquired 1,71,36,363 Equity Shares of M/s CGE II Hybrid Energy Private Limited, a company engaged in generation of renewable energy, on 29th August 2025. The acquisition is not a related party transaction and the promoter/promoter group/companies have no interest in the proposed acquisition. The acquisition is made to enhance the source of renewable power supply by 18 MW for its long term plans located at Hamirgarh, Bhilwara & Bhanwaria Kalan, Begun, in Rajasthan. The transaction completed on 29th August, 2025. The Company is a subsidiary of Continuum Green Energy Limited and it is a newly formed SPV to carry on the business of Power Generation, distribution, transmission and supply of renewable power in the state of Rajasthan, incorporated on 2nd December 2021.
