Physicswallah Increases Utkarsh Classes Stake to 87.75%

Physicswallah Limited has approved the acquisition of an additional 12.25% stake in Utkarsh Classes & Edutech Private Limited for INR 2,55,990. This transaction, approved by the Board of Directors, increases Physicswallah's total shareholding in Utkarsh Classes from 75.50% to 87.75%. The acquisition is part of a larger plan to acquire up to 100% of Utkarsh Classes by FY 2027-28. The company also amended the Share Acquisition Terms Agreement (SATA), replacing the PAT-linked valuation for Tranche IV with a fixed consideration and dispensing with Tranche V. Utkarsh Classes operates in the education industry, with a turnover of INR 169.66 Crores in FY 2025-26.
