Swan Defence Q2: ₹566 Cr profit from one-off tax write-back masks ongoing operating loss
Swan Defence and Heavy Industries (formerly Reliance Naval and Engineering) reported consolidated PAT of ₹566.44 Cr for Q2 FY27, its first full quarter after the Triumph Offshore Private Limited amalgamation became effective on September 17, 2026. The headline number is overwhelmingly a one-off: ₹563.15 Cr of it is a deferred-tax provision carried in Triumph Offshore's books that management's auditors wrote back as "no longer necessary" once the merged entity's tax position was reassessed (Note e to the results) — a non-cash, non-recurring credit, not earnings from shipbuilding or ship-repair work. Standalone tells the same story (PAT ₹567.10 Cr, EPS ₹107.65) since the parent carries the same tax-reassessment credit. Strip the write-back out and the picture is far more modest: consolidated profit before this tax item was just ₹3.29 Cr (standalone ₹3.95 Cr), and that figure itself depends on ₹56.84 Cr of other income — nearly as large as the ₹68.85 Cr of revenue from operations. Revenue minus total expenses (i.e., the result excluding other income) was a loss of roughly ₹52.9 Cr, so the core ship building/repair/fabrication business — the company's only reportable segment — remained loss-making through the quarter; other income, not operating leverage, is what pulled the pre-tax line into the black. Reported NPM (822%) and OPM figures are therefore not meaningful this quarter and should not be read as a margin inflection. Revenue did grow genuinely: ₹68.85 Cr, up 73.98% YoY from ₹39.57 Cr and 124.90% QoQ from ₹30.61 Cr, consistent with ramping activity post-merger. But it falls well short of the ₹250–300 Cr range our pre-result preview flagged as the going-in expectation for this print, and the order-book figure (~₹500–600 Cr estimated pre-result) is not disclosed anywhere in this filing, so the pipeline-to-revenue translation the preview flagged as a watch item remains unverified. Street coverage stayed thin as expected — TipRanks shows no consensus rating for SWANDEF and no numeric estimates surfaced in a search for this quarter, so there is no consensus to grade the print against. Management gives no formal quarter-specific guidance on record; a longer-term aspirational target of ~₹2,000 Cr revenue and a ~₹5,000 Cr+ order pipeline floated around a July 2026 investor meet is directional only and cannot be checked against one quarter's ₹68.85 Cr print. No management press release or call commentary accompanying this result was available in our records to cross-check against the numbers. Other quarter developments — the NCLT's August 25 approval of the Triumph Offshore scheme, its September 17 effective date, the September 2 AGM, and the October 1 appointment of Venu Avadhanula as COO (after the quarter closed) — are organisational build-out markers around the merger rather than drivers of this quarter's numbers. With restated comparatives now showing a far smaller year-ago loss (₹0.55 Cr vs ₹19.86 Cr previously on record) because of the pooling-of-interests accounting applied retroactively to April 1, 2024, readers comparing this print to our own historical PAT series should expect the base to look different going forward.
Key Highlights
- Consolidated PAT ₹566.44 Cr, but ₹563.15 Cr of it is a one-off deferred-tax provision write-back from the Triumph Offshore merger reassessment (Note e) — not operating income
- Ex the write-back, consolidated PBT was just ₹3.29 Cr, and core operations (revenue less total expenses, excluding other income) ran a loss of roughly ₹52.9 Cr
- Revenue from operations ₹68.85 Cr: +73.98% YoY (₹39.57 Cr) and +124.90% QoQ (₹30.61 Cr), but well short of the ₹250–300 Cr our pre-result preview flagged as expected for this print
- Other income ₹56.84 Cr — nearly as large as core revenue — was the real driver pulling pre-tax profit positive, not operating leverage
- Standalone (PAT ₹567.10 Cr, EPS ₹107.65) and consolidated (PAT ₹566.44 Cr, EPS ₹107.52) are nearly identical; the gap is the Group's ₹0.67 Cr share of a loss at associate Conceptia Software Technologies
- First full quarter post the Triumph Offshore amalgamation (effective Sept 17, 2026); comparatives restated on pooling-of-interests basis from April 1, 2024, cutting the restated year-ago consolidated loss to ₹0.55 Cr from ₹19.86 Cr on our prior record
- No order-book, pipeline, or segment disclosure in this filing — the ~₹500–600 Cr backlog and order-pipeline watch items flagged pre-result remain unverified
