S Chand and Company Ltd's Subsidiary Vikas Publishing House Private Limited to Sell Printing Business to Shri Shyamlal Printing Press Private Limited

S Chand and Company Ltd has announced that its wholly-owned subsidiary, Vikas Publishing House Private Limited, will sell its printing business to another subsidiary, Shri Shyamlal Printing Press Private Limited. The sale will be done by way of slump sale, without values being assigned to individual assets and liabilities, for a lump sum sale consideration. The sale is expected to be completed by October 01, 2025, and the consideration will be received in two parts: Rs. 23,00,00,000/- (Rupees Twenty Three Crores only) from normal banking channels and Rs. 30,00,00,000/- (Rupees Thirty Crores only) by subscribing 3,000, 0.01% Compulsory Convertible Debentures having a face value of Rs. 1,00,000/- each of SSPPPL at par. The net worth from the printing business is Rs. 18.78/- Crores which is 9% of the total net worth of Vikas Publishing House Private Limited.
