Saksoft Ltd Receives Rectified NCLT Order for Augmento Labs Amalgamation

Saksoft Limited has received a rectified order from the National Company Law Tribunal (NCLT), Chennai Bench, concerning the amalgamation of its wholly-owned subsidiary, Augmento Labs Private Limited, with Saksoft Limited. The original order, dated September 16, 2026, had certain factual details corrected. The rectified order, issued on October 1, 2026, addresses typographical errors and factual inaccuracies identified by the company. These include corrections to the designation of Saksoft Limited, the annexure references for the scheme, and specific terms like 'demerged company' and 'resulting company' which are now corrected to 'Transferor Company' and 'Transferee Company' respectively. The NCLT, however, did not allow rectifications related to the inclusion of additional notices sent to STPI and GST authorities, nor the insertion of a missed paragraph regarding the Regional Director's Report, citing that Rule 154 of NCLT Rules, 2016, is for clerical or arithmetical mistakes and accidental slips, not for additions.
