Viyash Scientific Acquires BioForLife Italia for EUR 16.975M

Viyash Scientific Ltd, through its step-down subsidiary Alivira Animal Health Limited, Ireland, has entered into a binding agreement to acquire 100% shareholding of BioForLife Italia s.r.l. for an aggregate consideration of EUR 16.975 million. The acquisition includes EUR 15.0 million payable at closing and EUR 1.975 million as deferred consideration. BioForLife Italia, based in Milan, Italy, is engaged in the marketing and distribution of animal health and veterinary products, with reported annual sales of approximately EUR 9.0 million in CY 2025. This strategic move aims to strengthen Viyash Scientific's presence in the Italian companion animal segment by leveraging BioForLife's established platform and customer reach. The transaction is subject to customary conditions precedent and regulatory approvals, including notification under Italian Golden Power Laws. Initial closing is expected within three months.
