Spandana Sphoorty Director Resigns, Appointed Independent Director

Spandana Sphoorty Financial Ltd announced that Mr. Neeraj Swaroop resigned as a Non-Executive Nominee Director, effective August 13, 2026, due to his cessation as a nominee of Kedaara Capital I Limited. Concurrently, the Board approved his appointment as an Additional Director in the capacity of an Independent Director for a three-year term starting August 14, 2026, subject to shareholder approval. The company also approved the amalgamation of its wholly-owned subsidiary, Criss Financial Limited, with itself, pending regulatory and shareholder approvals.
