Veranda Learning Solutions Board Approves Auditor Appointments & AoA Changes

Veranda Learning Solutions Ltd (VLS) announced that its Board of Directors, in a meeting held on July 29, 2026, approved several key matters related to the ongoing Scheme of Arrangement involving Veranda XL Learning Solutions Private Limited (VXLS) and J.K. Shah Commerce Education Limited (JSCEL). The board approved the adoption of a new set of Articles of Association to align with listing requirements. Additionally, M/s. KKC & Associates LLP was appointed as Statutory Auditors for a five-year term, replacing M/s. M A R G H & Associates. M/s. SAAKSH and Associates LLP were appointed as Internal Auditors for FY 2026-27, and M/s. Nilesh Shah & Associates as Secretarial Auditors for five years. These appointments are subject to member approval.
