Viceroy Hotels to Acquire 100% Shareholding of SLN Terminus Hotels and Resorts

Viceroy Hotels Limited has entered into a Share Purchase Agreement (SPA) dated 29th December 2025 to acquire 100% shareholding of M/s. SLN Terminus Hotels and Resorts Private Limited. The acquisition is aimed at strategic portfolio expansion within the hospitality segment and strengthening the Company’s market presence and asset base. The sale consideration will be adjusted against liabilities as of the purchase date, which Viceroy Hotels Limited will fund through a loan to SLN Terminus Hotels and Resorts Private Limited for repayment. The agreement is entered between several parties, including Mr. Solipuram Prabhaker Reddy, Mr. Solipuram Amarender Reddy, Mr. Solipuram Narayana Reddy, Mrs. Pamulaparthy Padma, Mrs. Solipuram Shanta, Mrs. Solipuram Aarthi, Mrs. Kakulavaram Ashwini, Mrs. Solipuram Archana, Mrs. Vasudha Vangala, Mr. Venu Madhav Reddy Kallem, M/s. Terminus Infrastructures Pvt Limited, and SLN Terminus Hotels and Resorts Private Limited. The transaction is done at an arm’s length based on a feasibility study conducted by ‘HVS ANAROCK Hotel Advisory Services Pvt. Ltd’ and a valuation report from an IBBI Registered Valuer. Mr. S. Prabhaker Reddy, Managing Director and shareholder of SLN Terminus Hotels and Resorts Private Limited, is also a director at Viceroy Hotels Limited and holds a significant beneficial holding in VHL, making the transaction a related party transaction.
