Vindhya Telelinks Ltd has issued a corrigendum to its earlier disclosure regarding the 43rd Annual General Meeting (AGM) held on August 3, 2026. The corrigendum clarifies that the special resolution for the re-appointment of Shri Priya Shankar Dasgupta as a Non-Executive Independent Director for a second term did not secure the required three-fourths majority. Consequently, the re-appointment is not deemed approved. The company initially believed the term 'appointment' included 're-appointment' under Regulation 25(2A) of the Listing Regulations, but a legal review confirmed this interpretation was incorrect for re-appointments. The appointment of Shri Pandanda Kariappa Madappa as a Non-Executive Independent Director for a first term remains valid. Shri Dasgupta's current term as director extends until November 20, 2026.
