Virinchi Ltd Board Approves Acquisition of Healthcare Business

Virinchi Ltd's board of directors met on July 9, 2026, and approved a Business Transfer Agreement (BTA) to acquire the Primary and Secondary Healthcare Business Division, operating under the "Bristlecone Hospitals" brand, from its subsidiary, Virinchi Health Care Private Limited (VHCPL). This acquisition, effective April 1, 2026, is a slump-sale of the business as a going concern, including related assets, liabilities, and employees. The transaction is considered a related party transaction, to be conducted on an arm's length basis, and requires shareholder approval. The restructuring aims to establish a dedicated AI-first healthcare platform, enabling Virinchi Hospitals to focus on tertiary and quaternary care and positioning Bristlecone Hospitals as a leading AI-enabled community healthcare brand.
