
Waaree Energies Ltd. to Acquire Additional 11.06% Stake in Subsidiary Waaree Transpower Private Limited for Rs. 190 Crore
Waaree Energies Ltd. announced the outcome of its Board Meeting held on March 24, 2026. The Board approved the acquisition of an additional 11.06% equity stake in its subsidiary, Waaree Transpower Private Limited (formerly known as Kotsons Private Limited), taking its total shareholding to 75.10%. The acquisition is a related party transaction, with a cash consideration of Rs. 190 crore (Rs. 75 per share with a face value of Rs. 10 per share). The company will also invest Rs. 3,900 crores in a glass manufacturing plant in its wholly owned subsidiary, Waaree Green Glass Private Limited, for a capacity of 2500 TPD. The Capex will be funded by a mix of debt and internal accruals. Waaree Transpower Private Limited is involved in designing, manufacturing, and supplying advanced transformer solutions, with a present plant production capacity of 4,000 MVA. The last three years turnover of the acquired entity is as follows: 2022-23 - INR 16.45 crores, 2023-24 - INR Nil, and 2024-25 - INR 8.47 crores.
