ZEN Technologies to Acquire 51.98% Stake in Cogknit Semantics for ₹135.15 Cr

Zen Technologies Limited announced its Board of Directors has approved the acquisition of a 51.98% stake in Cogknit Semantics Private Limited (CSPL) for a cash consideration not exceeding ₹135.15 crore. The acquisition will be completed through the purchase of equity shares and subscription to Series A Compulsorily Convertible Cumulative Preference Shares. This strategic move aims to integrate CSPL's AI-based battlefield management and situational-awareness systems into Zen Technologies' existing defence training, simulation, and anti-drone businesses, thereby expanding its defence portfolio. The transaction is expected to be completed by December 13, 2026, subject to certain conditions precedent. Upon completion, CSPL will become a subsidiary of Zen Technologies.
