Zensar Technologies to Set Up New Entity in Brazil

Zensar Technologies Ltd has received in-principle approval from its Board of Directors to establish a new entity in the Federative Republic of Brazil. The new entity will be set up either directly by the subsidiary of the company or through a joint venture partner. The decision was made at a Board Meeting held on October 31, 2025. The new entity will be incorporated in Brazil and will operate in the software and allied services industry. The company will subscribe to the minimum capital as may be necessary at face value. The Promoters/promoter group do not have any direct interest in the step-down subsidiary being incorporated. The new entity will be a related party of the company, and the acquisition is not a related party transaction. The company will provide further details as and when they become available.
