
Zydus Wellness Acquires UK Based Comfort Click for GBP 239 Million, Expanding International Footprint
Zydus Wellness Limited, through its wholly owned subsidiary Alidac UK Limited, has acquired 100% outstanding ordinary shares of Class A and Class B, 71.43% of non-controlling ordinary shares of Class C and 66.67% of non-controlling ordinary shares of Class D of Comfort Click Limited (CCL), a UK based digital consumer healthcare platform in the Vitamins, Minerals and Supplements (VMS) segment. The acquisition was made for a consideration of GBP 239 million plus the agreed profit ticker from the date of Lock Box (i.e. March 31, 2025) till the date of closing (i.e. August 29, 2025), as reduced by permitted leakages and subject to customary adjustments under the terms of SPA. CCL has a strong and diversified portfolio across adult, kids and pet segments and its business portfolio comprises three brands: WeightWorld™, maxmedix™ and Animigo. The majority of CCL's revenue from sale of its products are through e-commerce and Direct-to- Consumer (D2C) channels in UK and Europe. The acquisition aligns with Zydus Wellness' strategic vision of expanding its international footprint while deepening its capabilities in consumer-centric health, presence in digital health and personalised wellness.
