What Customs decided and what the company says
On August 20 Paradeep Phosphates received an adjudication order from the Office of the Commissioner of Customs, Goa, in respect of Show Cause Notice No. 02/2025-26 dated December 5, 2025. The order concerns seven consignments of prilled urea imported as Technical Grade Urea. The authority held that biuret content exceeded 0.80%, so the goods fell under Fertilizer Grade Urea, ordered confiscation under Sections 111(d) and 111(m) of the Customs Act, and imposed a redemption fine of ₹23.26 crore and penalties of ₹46.52 crore and ₹23.81 crore, a total of ₹93.59 crore. The assessable value of the goods was ₹465.23 crore.
The company's position, in the same filing: it believes it is fully compliant, has not committed any violation, disputes the classification, and will pursue appropriate legal recourse. It states the order is not expected to have any material operational impact. No provision was disclosed.

Separately, Zuari Maroc Phosphates Pvt Ltd (the promoter, 52,29,71,970 shares, 50.37% of the company) disclosed under SAST Regulation 31(2) that on August 19 Tata Capital Limited released its pledge on 4,00,00,000 shares (3.85%) and 2,48,81,500 shares (2.34%), a total of 6,48,81,500 shares or 6.25% of capital. The stated reason is "Release of pledge by Tata Capital Limited on Repayment of Loan". After the release, 2,50,00,000 shares (2.41%) and 1,18,500 shares (0.01%) remain encumbered.
A lender releasing collateral because the borrower repaid is a reduction in promoter leverage. The release date precedes receipt of the customs order by a day; the two filings are unrelated events that reached the exchange about a day apart.

The stock closed flat on August 21 (−0.1%), before the order was disclosed, rose 0.6% on August 24, and 6.8% on August 25 on 5.2 crore shares, about eight times the 20-day average. It closed at ₹165.88 on August 28, 11.7% above the filing-day close. The market did not treat the order as a material event.

Two filings, two different stories. The customs order is a contested ₹93.59 crore adjudication on a classification dispute, small against a ₹15,000 crore market value and a ₹6,100 crore quarter. The pledge release is the promoter's lender returning collateral after repayment.
Neither filing says anything about the promoter's view of the stock or the company's liquidity. The appeal outcome and the Q2 numbers are what will matter.
