The deal

100% stake in India's largest property marketplace, funded entirely in shares

On July 16, Aurum PropTech's board approved acquisition of Locon Solutions Private Limited — the holding company of Housing.com — from REA India Pte Limited. The all-equity consideration: Aurum will issue 1,97,93,309 new equity shares (valued at ₹1,979.33 Cr) to REA, raising its stake from ~18% to 24.9%. Additionally, Aurum's promoters receive 51 lakh convertible warrants at ₹231.42 per warrant. An Extraordinary General Meeting is scheduled for August 14, 2026, to seek shareholder approval. If passed, this becomes the largest technology-enabled M&A in Indian real estate—combining the country's largest property discovery platform with a tech stack spanning rental, distribution, transactions, and financing.

Why it matters

Three strategic layers to unpack

Layer 1: Marketplace scale. Housing.com processes millions of property searches and is the default portal for buyer and renter discovery. Aurum itself runs NestAway (rentals), PropTiger (sales), Sell.do (agent toolkit), and Aurum Analytica (data). The acquisition stitches them into one OS — a single login for browsing, buying, renting, financing, and managing property. Network effects then compound: more agents → more listings → more buyers.

Layer 2: REA India's conviction. REA (the Australian real estate behemoth's India arm) is not a passive investor; it backed the original Housing.com IPO attempt, acquired Makaan, and has been consolidating Indian online real estate for five years. Raising its stake from 18% to 24.9% in an all-equity deal signals it sees value creation ahead. REA does not dilute for asset-light plays—this bet has execution risk baked into it.

Layer 3: Margin play. Housing.com's search-to-monetization funnel is commoditized (ads + commission). Aurum's integration can inject transactions—mortgage partnerships, seller financing, rental payments—where Aurum takes a percentage of the deal value, not just a listing commission. If Aurum can convert even 5-10% of Housing.com traffic into transactional revenue, the margin profile shifts radically.

Aurum acquires Housing.com for ₹1,979 Cr

Board approved 100% acquisition of Locon Solutions (Housing.com owner) through preferential issue of 1.97 Cr equity shares to REA India. REA's stake rises to 24.9%. Warrants issued to promoters. EGM on Aug 14 to seek shareholder approval.

Read:Creates India's first AI-native real estate OS by integrating marketplace (Housing.com) with tech stack (rentals, sales, financing). Deal is all-equity, avoiding balance-sheet stress. REA's rising stake signals conviction in value creation through integration, not financial engineering.

Aurum becomes debt-free after ₹112 Cr property sale

Aurum sold Buildings Q5 and Q6 in Navi Mumbai for ₹112 Crores and fully prepaid its Lease Rental Discounting (LRD) facility. The balance is being deployed into AI capabilities (tenant acquisition, predictive analytics, leasing workflows).

Read:Balance sheet clean-up ahead of major M&A is textbook pre-deal positioning. Removes debt service obligations from pro-forma earnings post-Housing.com integration. The timing—just 2 months before the acquisition announcement—suggests management had this deal in discussions.

FY26 Q4: Crossed ₹500 Cr ARR, 2nd consecutive profitable quarter

Aurum reported FY26 consolidated revenue of ₹124 Cr (Q4), +49% YoY for the full year. Q4 showed 72% YoY revenue growth. Announced ARR (annualised recurring revenue) crossed ₹500 Cr milestone. Company achieved second consecutive profitable quarter with 2.5% PBT margin in Q4.

Read:Shows underlying business momentum before the Housing.com deal. ₹500 Cr ARR base on ₹424 Cr annual revenue implies multiple revenue streams (transactions, subscriptions, take-rates). Profitability two quarters running removes 'will this ever make money' uncertainty.

At face value, a ₹1,979 Cr deal for a company generating ₹12 Cr annual net profit implies a 165× trailing PAT multiple—stratospheric by any metric. But the math shifts once you layer in Housing.com's contribution and the integration upside.

Housing.com itself is the issue. Aurum has not disclosed Housing.com's separate financials (it's held by REA India, a private company). But industry sources suggest Housing.com generates ₹40-50 Cr annual revenue with single-digit profitability—consistent with a maturing ad + commission marketplace. Post-integration, if Aurum can cross-sell Aurum's transactional products (rentals, sales financing, property management) to Housing.com users, incremental margin could be 20-30% on new transactions. That's the optionality the ₹1,979 Cr reflects.

The debt-free status removes dilution risk from future capital needs. The ARR milestone (₹500 Cr) shows the gross opportunity is real. But execution hinges on three unknowns: (1) Housing.com's current profitability and user churn, (2) whether Aurum's tech stack can actually co-exist with Housing.com's legacy code without integration drag, and (3) whether India's real estate agents and brokers will accept Aurum's take-rate (now potentially higher across the full marketplace).

What to watch

Three milestones before and after the deal closes

Next checkpoints

Catalyst and risk clarity

  • Aug 14 EGM

Shareholder approval is near-certain (REA will vote its 18%+ stake for the deal). Watch voting percentage—if proxy participation is low, it signals retail shareholder skepticism about the valuation.

  • Post-integration roadmap

Post-EGM, management should disclose Housing.com's standalone financials, integration milestones (single login, unified billing), and target timeline (12–18 months?). Lack of detail here means the market prices the deal assuming zero synergy until proven otherwise.

  • Housing.com user retention

First 90 days post-deal, watch for agent churn or decline in active listings on Housing.com. Integration fatigue (logo changes, policy changes) could spook sellers and agents if managed poorly. This is the silent killer of real estate M&A.

  • Q1 FY27 results & commentary

Trading window closed Jul 1; Q1 results likely in late July. Management commentary on Housing.com integration progress and any near-term headwinds (deal costs, duplicate systems being maintained in parallel, agent feedback) will be critical.

  • REA India's earnings call

REA reports to Australian equity markets. Its upcoming earnings call (likely within weeks) will clarify management's full thesis on the Aurum investment and whether this is a long-term hold or eventual exit-timed play.

The angle

Risk-reward at current levels

The bull case: Aurum is paying a 2-3× gross-merchandise-value multiple for Housing.com's user base and is well-positioned to monetize it through transaction finality. REA India's conviction (rising stake, all-equity funding) reduces execution risk. Profitability already emerging (Q4 showed 16 Cr net profit). Integration of rentals + sales + financing into a single OS is defensible and hard to replicate.

The bear case: Valuation assumes significant synergy realization over 3-5 years. Housing.com user adoption of Aurum's transactional services is unproven. Marketplace consolidation in real estate has failed before (see: Magicbricks, BiggestDeals). Aurum's 12 Cr FY26 net profit leaves little room for integration costs or user acquisition spending without profit dilution. If Housing.com's churn rate is higher than Aurum's estimates, the deal destroys shareholder value.

The market will price this based on post-EGM momentum and Q1 FY27 commentary. Approval is likely. Execution clarity is scarce. The data suggests favorable risk-reward for investors with 18-24 month horizon and conviction in proptech thesis, but moderate risk for those betting on near-term accretion.

Aurum PropTech's ₹1,979 Cr all-equity acquisition of Housing.com is a watershed moment for Indian proptech—the first serious attempt to merge marketplace discovery with transaction finality. REA India's rising stake to 24.9% and the company's debt-free status reduce financing risk. But the deal's success depends entirely on execution: can Aurum retain Housing.com's user base, cross-sell its services at scale, and maintain unit economics? The next 12 months will tell.

Key monitorables: EGM approval (Aug 14), post-integration roadmap disclosure, Housing.com user retention metrics (Sep–Oct), and Q1 FY27 earnings commentary (late July). The thesis is sound; the execution risk is real.
