A signed Statement of Work from IBM Cloud, disclosed pre-open
Global Impx Inc. receives a US$15.5 million fixed-fee SOW from IBM Cloud Inc
Blue Cloud disclosed that Global Impx Inc., USA — its wholly owned subsidiary — received a signed Statement of Work from IBM Cloud Inc for AI Infrastructure Design, Deployment and Support Services, at a fixed fee of US$15,500,000 (approximately ₹147 crore at ₹95 per US dollar), exclusive of taxes. The signed copy was received on September 24; work commenced the same day, with delivery in New Jersey, USA. The filing states the order is international, not a related-party transaction, and that the promoter group has no interest in the awarding entity.
Read:At the filing's stated conversion, the order equals roughly 8.4% of the company's ≈₹1,745 Cr market cap and about half of Q1 FY27 consolidated revenue (₹292.5 Cr). The filing reached the exchange at 08:55 IST, before the open — the session's +15.6% move is the first tradeable reaction.
BSE filing + press release, Sep 25, 2026The mechanics, as the filing records them: the Statement of Work is issued under a Master Services Agreement dated August 21, 2026 between Global Impx and IBM Cloud Inc. Signatures on the SOW are dated September 18; the signed copy reached the company on September 24, and work commenced that day. The US$15.5 million fee is payable against five project milestones running from kick-off to production go-live, followed by a 30-day stabilisation and support period. The scope spans four stages — design (workload and infrastructure assessment, architecture), build (GPU compute clusters, high-performance storage and networking, Kubernetes-based orchestration, training and inference environments), secure-and-operate (identity and access controls, segmentation, encryption, monitoring, backup and disaster recovery), and validate-and-hand-over. The press release commits to service levels including infrastructure and GPU availability of at least 99.5%, critical alerts within 15 minutes and response to critical incidents within 30 minutes.
One detail the press release itself flags: Global Impx has been a Blue Cloud subsidiary only since June 2026 — the company frames the order as an "early payoff from the GIX acquisition," landing within three months of the entity joining the group. For scale, the company's press release states consolidated FY 2025-26 revenue of ₹1,002 crore; against that, ₹147 crore is roughly 14.7% of a full year's revenue, to be recognised across the milestone schedule rather than at once.
AI is moving out of the lab and into production, and that move runs on infrastructure. Winning this mandate from IBM Cloud within three months of GIX joining Blue Cloud shows that our US platform can compete for, and deliver, the most demanding AI infrastructure work.

The third large US announcement since August — and what the first one did
Company announces a US$150 million Statement of Work with "SpaceX International Ltd, MY"
A press release filed at 09:00 IST, before the open, announced that Blue Cloud's USA arm signed a Statement of Work worth US$150 million with an entity the filing names as "SpaceX International Ltd, MY", for AI infrastructure, cybersecurity, telecommunications and data centre solutions. The filing does not describe the counterparty beyond that name. On August 24, a further pre-open release announced commencement of execution under the corresponding Master Services Agreement (+4.1% that session).
Read:At the stated size, that August order is nearly ten times the IBM Cloud SOW. The stock rose 13.6% on announcement day and closed at ₹24.21 the next session — its highest close in the 60-session window.
BSE filing, Aug 10, 2026What happened next is the context for today's move. From the ₹24.21 close of August 11, the stock drifted down through late August — including a −10.4% session on August 26 with no corresponding filing in the disclosure record used here — and by September 11 closed at ₹19.20, below its ₹19.74 pre-announcement close of August 7. The entire pop from a claimed US$150 million order had retraced in about a month. This is a company with a heavy announcement cadence — seventeen filings reached the exchanges in the past 60 days, spanning the NSE main-board admission effective August 17, an IndiaAI Centre of Excellence association in Odisha, an Africa telecom memorandum, and a Liberia digital-infrastructure MoU. The observable pattern is that announcement-day moves in this stock have not held; whether the IBM Cloud order — smaller, but from a named global technology client, with a signed SOW, stated milestones and service levels — behaves differently is the open question this report cannot settle.
A US healthcare acquisition by share swap, and a delayed AGM
Board meeting called for Aug 24 to evaluate acquiring the equity of a US healthcare-sector entity.
Board grants in-principle approval to evaluate and negotiate the acquisition of up to 100% of CareTech AI Inc. (with subsidiaries CareCareer Tech LLC and Envision NJ LLC), consideration proposed as a share swap via preferential allotment under SEBI ICDR Chapter V — subject to due diligence and independent valuation.
Board apprised of the proposal; valuation and swap-ratio determination stated as under way.
Company applies to the Registrar of Companies, Telangana, for extension of time to hold the 35th AGM, citing the proposed US healthcare acquisition to be placed before members.
Company intimates the exchanges that the RoC granted the extension.
The share-swap route matters for existing holders: consideration by preferential allotment of new Blue Cloud shares means dilution, with the swap ratio still being determined. There is already arithmetic in the reported numbers consistent with a growing share base — Q1 FY27 consolidated net profit rose 24.7% year-on-year, yet reported EPS fell to ₹0.23 from ₹0.33, which implies materially more shares outstanding over the period (the June 2026 shareholding pattern shows 75.31 crore total shares, with the promoter group at 38.44%). The AGM extension ties the acquisition to the shareholder calendar: the deal is proposed to be put to members at the delayed 35th AGM.
The June 2026 quarter — the first with Global Impx in the group — shows consolidated revenue of ₹292.5 Cr, up 42.0% year-on-year, with net profit of ₹18.0 Cr (+24.7%) and operating margin nearly doubling to 20.4% from 10.3%. Two lines deserve attention alongside the growth. First, the consolidated interest cost jumped to ₹4.56 Cr from ₹0.46 Cr a year earlier; the financial data used here does not state the reason. Second, roughly half of consolidated revenue is now outside the standalone entity (standalone Q1 FY27 revenue was ₹144.5 Cr) — the group's results increasingly depend on subsidiaries, which is exactly where the IBM Cloud order sits.
Even after the 15.6% move, the stock sits 39.0% below its adjusted 52-week high of ₹38 (November 6, 2025) and 40.3% above the ₹16.51 low of January 27, 2026. The September 25 session's 35.4 lakh shares of volume is about 6.9 times the average of the previous twenty sessions — heavy, but smaller than the 126–128 lakh-share sessions of the August 10–11 pop. In other words, today's reaction was sharp in price but lighter in participation than the last order-driven rally, which subsequently retraced in full.
The filings that would settle the open questions
Q2 FY27 results
Whether IBM Cloud milestone fees appear in consolidated revenue — work commenced September 24, so the September quarter can carry at most days of it; the December quarter is the real test. Also watch the interest line, which rose to ₹4.56 Cr in Q1 without a stated reason.
CareTech AI swap terms
The independent valuation and share-swap ratio for the proposed CareTech AI acquisition — this sets the dilution — and the notice of the delayed 35th AGM where members vote.
US$150M MSA evidence
Any disclosure showing revenue actually recognised under the Master Services Agreement with "SpaceX International Ltd, MY" announced August 10 — execution evidence would re-rate how the market treats the company's order announcements, including this one.
Follow-through
Whether ₹23.17 holds. The August order pop fully retraced within a month; a close back below the ₹20.05 pre-announcement level would repeat that pattern.
The September 25 disclosure is more concrete than the company's earlier order announcements in the window: a named global counterparty, a signed Statement of Work under a dated Master Services Agreement, a fixed fee with a milestone schedule, defined service levels, and work already commenced. At roughly 8.4% of market cap and half a quarter's consolidated revenue, it is material to a company of this size — and it lands in the US subsidiary that already drove the group's 42% year-on-year revenue growth in the June quarter.
Against that stands the record of the past sixty sessions: a claimed US$150 million order in August produced a rally that fully retraced, a heavy cadence of announcements has not held price, and a dilutive share-swap acquisition is in progress with its ratio still undetermined. The data suggests the durable test of today's move is not the announcement but the arithmetic that follows it — milestone fees appearing in reported revenue over the coming quarters. Until then, the stock remains a small-cap trading 39.0% below its 52-week high, where single filings move the price by double digits in a session.
